Terms of Service

These Standard Terms and Conditions ("Terms") govern the purchase and sale of all merchandise ("Product") sold by the seller, Mahilani, LLC ("Mahilani"), to any purchaser ("Customer" or "You").

1. Acceptance.

   Customer accepts these Terms upon purchasing any Product from Mahilani, whether online or in-store, including through Mahilani’s website. If these Terms conflict with any invoice or other document, these Terms shall prevail.

2. Delivery.

   Delivery is complete when the Customer takes possession of the Product or when the Product arrives at the destination requested by the Customer, whichever occurs first. Upon delivery, title, risk of loss, and the obligation to insure the Product pass to the Customer.

3. Statute of Limitations; Statute of Repose.

   Any claim relating to the Product must be brought within one (1) year from the date of the alleged injury. The statute of repose for any Product is one (1) year from the date the Customer receives the Product or takes possession, whichever is earlier.

4. Venue; Choice of Law.

   This agreement shall be governed and construed in accordance with the laws of the State of Washington. Venue shall lie exclusively in Whatcom County, Washington, including applicable federal courts. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

5. Entire Agreement.

   These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.

6. Warranties; Disclaimers.

   Mahilani warrants that it is the lawful owner of the Product and that the Product is free from liens or encumbrances. All Products are sold “as is.” Mahilani disclaims all other warranties, express or implied, including any implied warranty of fitness for a particular purpose.

7. Purchase; Payment Terms.

   Payment shall be made in the currency stated on the invoice and is due as agreed by the parties. Unless stated otherwise, prices include shipping and taxes. Overdue amounts may incur interest at 1.5% per month or the maximum rate allowed by law.

8. Privacy Policy.

   Mahilani collects personal and transactional information to process purchases and improve services. This may include information provided by You, transaction details, and device-related data. Mahilani uses industry-standard safeguards to protect collected information.

9. Dispute Resolution.

   Any dispute shall first be addressed through written notice. If not resolved within 30 days, disputes shall be resolved exclusively through binding arbitration under the Federal Arbitration Act (FAA). Both parties waive the right to a jury or court trial.

12. Limitation of Liability.

    Mahilani’s total liability shall not exceed the purchase price of the Product giving rise to the claim. Mahilani shall not be liable for any indirect, incidental, consequential, or punitive damages.

13. Changes to Terms.

    Mahilani reserves the right to modify these Terms at any time by posting updated Terms on its website. Continued use constitutes acceptance of any revised Terms.
